Toepasselijkheid 

1. Deze inkoopvoorwaarden zijn van toepassing op alle aanbiedingen en leveringen aan Secuproducts B.V. te Nieuw-Vennep (hierna te noemen: “Secu”) en op alle overeenkomsten tussen Secu en een leverancier (”Leverancier”) zijn uitsluitend deze inkoopvoorwaarden van toepassing; verkoopvoorwaarden van Leverancier zijn niet van toepassing, behoudens schriftelijk op enig punt anders is overeengekomen. 


Aanbiedingen 

2. Geen enkele aanbieding of bevestiging van een opdracht tot levering of van een bestelling aan Secu bindt Secu, tenzij deze schriftelijk of per e-mail ondubbelzinnig door Secu is aanvaard. 


Prijzen 

3. Tenzij anders is overeengekomen, is een door Secu voor akkoord bevestigde prijs een vaste prijs en kan door Leverancier geen vergoeding van kostenstijgingen worden verlangd. Prijsverhogingen in verband met meerleveringen of welke reden dan ook kunnen alleen dan aan Secu in rekening worden gebracht, indien deze door Secu tevoren schriftelijk zijn aanvaard. 


Leveringstijd 

4. Indien Leverancier de overeengekomen leveringstijd niet nakomt heeft Secu het recht, zonder nadere ingebrekestelling of rechterlijke tussenkomst, en onverminderd haar verdere rechten, de koop geheel of gedeeltelijk te ontbinden, zonder evenwel tot enige schadevergoeding gehouden te zijn. 


Plaatsen van levering 

5. Tenzij anders is overeengekomen, dient levering op het door Secu aangewezen adres te geschieden. De kosten van vervoer, verzekering en alle overige kosten in verband met de levering zijn voor rekening van Leverancier. 


Eigendoms- en risico-overgang 

6. De eigendomsoverdracht van de geleverde zaken en de overdracht van het risico ten aanzien van de gekochte zaken vindt plaats zodra de zaken door Secu in ontvangst zijn genomen. In geval van afkeuring berust het risico ten aanzien van de betrokken zaken weer bij Leverancier vanaf de datum van verzending van de mededeling van de afkeuring aan Leverancier. 


Betaling 

7. Tenzij schriftelijk of per e-mail ondubbelzinnig anders is overeengekomen vindt de betaling plaats binnen 60 dagen nadat de factuur bij Secu is binnengekomen en/of de zaken zijn ontvangen, waarbij de chronologisch laatste datum telt. 


Kwaliteit 

8. Indien een of meer van de geleverde zaken niet in alle aspecten voldoet aan de overeenkomst en/of niet de eigenschappen bezit welke voor een normaal gebruik nodig zijn en welke Secu mocht verwachten, zoals bijvoorbeeld (doch niet beperkt tot) ten aanzien van hoeveelheid, maat, gewicht, materiaalkwaliteit, en toebehoren is Secu te allen tijde gerechtigd na de ontdekking - en zonder dat aan Secu kan worden tegengeworpen dat zij het ontdekte eerder had kunnen of moeten ontdekken of eerder had dienen te protesteren of haar rechten uitoefenen - zonder nadere ingebrekestelling of rechterlijke tussenkomst, de overeenkomst te ontbinden en de zaken te retourneren onder de verplichting van Leverancier de koopprijs te retourneren, een en ander onverminderd de verdere aan Secu toekomende rechten, waaronder het recht op vervanging, herstel en op schadevergoeding. Inontvangstneming noch betaling van zaken door Secu houdt aanvaarding in. Alle verpakkingen en materialen van de te leveren zaken dienen in alle opzichten aan de ten tijde van de levering geldende milieuvoorschriften te voldoen. 


Ter beschikking te stellen zaken 

9. Alle door Secu aan Leverancier ter beschikking te stellen goederen, inclusief modellen, stempels, matrijzen, mallen, vormen, kalibers, tekeningen met inbegrip van alle intellectuele en industriële eigendomsrechten die daarop betrekking hebben, blijven eigendom van Secu. Al zulke zaken dienen direct op eerste verzoek van Secu aan Secu te worden geretourneerd. Leverancier is niet bevoegd de goederen te gebruiken of deze te doen of te laten gebruiken anders dan ten behoeve van Secu, tenzij met schriftelijke toestemming van Secu. Schade aan de door Secu ter beschikking gestelde zaken komt voor rekening van Leverancier. 


Derden 

10. Indien Leverancier in opdracht van Secu werkzaamheden verricht in gebouwen of op terreinen van derden, wordt Leverancier geacht bekend te zijn met de contractuele verplichtingen van Secu jegens die derde. Tenzij anders is overeengekomen gelden deze verplichtingen dienovereenkomstig voor Leverancier. Personeel in dienst van Leverancier werkt voor risico en onder verantwoordelijkheid van Leverancier. Indien de Leverancier of zijn personeel vanwege niet voldoen aan de contractsvoorwaarden tussen Secu en derden, ontslaat dat Leverancier niet van zijn verplichtingen. 


Bijkomende verplichtingen 

11. Alle modellen, stempels, matrijzen, mallen, vormen, kalibers, tekeningen of andere hulpmiddelen, welke door Leverancier voor de uitvoering van een overeenkomst met Secu worden verkregen of vervaardigd, worden door Leverancier bij voorbaat aan Secu geleverd en zullen direct bij verkrijging c.q. vervaardiging door Leverancier in bruikleen voor Secu worden gehouden. Alle intellectuele en industriële eigendomsrechten met betrekking tot zulke zaken zullen aan Secu toekomen en voor zover nodig direct bij verkrijging aan Secu worden overgedragen. De tussen Secu en Leverancier overeengekomen prijs voor goederen als hiervoor bedoeld en die door de Leverancier van derden zijn betrokken, wordt door Secu aan Leverancier vergoed, nadat Leverancier aan Secu een bewijs heeft overgelegd, waaruit blijkt dat Leverancier het verschuldigde aan de derde heeft voldaan en dat Leverancier bevoegd is geworden over die goederen te beschikken. Leverancier dient deze zaken duidelijk als eigendom van Secu te kenmerken en derden, die daarop rechten wensen uit te oefenen, op het eigendomsrecht van secu te wijzen. Leverancier is verplicht Secu daarvan direct op de hoogte te stellen. De leverancier zal deze zaken niet gebruiken noch doen of laten gebruiken door derden, anders dan ten behoeve van Secu, tenzij na schriftelijke bevestiging van Secu. 


Geheimhouding 

12. Leverancier is gehouden alle in het kader van een overeenkomst met Secu verkregen vertrouwelijke informatie, vertrouwelijk te behandelen. Leverancier zal deze informatie niet aan derden ter beschikking stellen, behalve voor zover dat voor de uitvoering van een overeenkomst tussen Secu en Leverancier noodzakelijk is en na aanvaarding door die derde(n) van een overeenkomstige geheimhoudingsverplichting. 


Geen uitbesteding 

13. Leverancier is gehouden de overeenkomst zelf uit te voeren. 


Aansprakelijkheid 

14. Onverminderd het bepaalde in artikel 8 is Leverancier, in geval het geleverde in enig opzicht niet deugdelijk of niet conform de overeenkomst blijkt te zijn, te allen tijde - dus zonder dat Leverancier er zich op kan beroepen dat Secu zulks eerder had kunnen ontdekken en ter zake eerder had kunnen reclameren, gehouden tot vergoeding van alle door Secu, haar werknemers en/of derden geleden schade die op enigerlei wijze daarmee in verband kan worden gebracht. 


Garantie 

15. Leverancier garandeert de deugdelijkheid en de conformiteit met de overeenkomst van alle geleverde zaken en garandeert voorts dat elke geleverde zaak de eigenschappen bezit welke voor een normaal gebruik nodig zijn en welke Secu mocht verwachten, zoals bijvoorbeeld (doch niet beperkt tot) ten aanzien van hoeveelheid, maat, gewicht, materiaalkwaliteit, en toebehoren. 


Industriele en intellectuele eigendom 

16. Leverancier staat er voor in dat geleverde zaken geen inbreuk maken op industriele of intellectuele eigendomsrechten van derden en vrijwaart Secu tegen alle aanspraken die ter zake jegens Secu worden gemaakt. 


Geschillen 

17. Op alle overeenkomsten tussen Secu en Leverancier is Nederlands recht van toepassing, met uitsluiting van toepasselijkheid van het Weens Koopverdrag (CISG Vienna 1980). Alle geschillen tussen Secu en Leverancier worden exclusief beslecht door de rechtbank van het arrondissement waarin Secu gevestigd is.

Applicability 

1. Only these conditions of purchase will apply to all offers and deliveries to Secuproducts B.V. in Nieuw-Vennep (hereinafter called: “Secu”) and to all agreements between Secu and a supplier (”Supplier”). Any Supplier's conditions of sale do not apply, except if something else has been agreed on any point in writing. 


Offers 

2. No offer or acknowledgement of an order for delivery or other order to Secu will bind Secu, unless it has been accepted unequivocally by Secu in writing or by e-mail. 


Prices 

3. Unless something else has been agreed, a price confirmed by Secu for approval is a fixed price and no compensation of cost increases may be requested by the Supplier. Price increases in connection with over-deliveries or for any reason whatsoever, may only be charged to Secu, if they have been accepted by Secu beforehand in writing. 


Time of delivery 

4. If the Supplier does not comply with the agreed time of delivery, Secu will be entitled, without further notice of default or judicial intervention, and without prejudice to its further rights, to dissolve the purchase in full or in part, without Secu being obliged, however, to pay any compensation for damage. 


Places of delivery 

5. Unless something else has been agreed, delivery must be made at the address designated by Secu. The costs of transport, insurance and all other costs in connection with the delivery are for the Supplier's account. 


Transfer of ownership and risk 

6. The transfer of ownership of the goods delivered and the transfer of the risk in respect of the goods purchased will take place as soon as receipt of the goods has been taken by Secu. In the event of rejection the risk with regard to the relevant goods will lie with the Supplier again from the date of dispatch of the communication of the rejection to the Supplier. 


Payment 

7. Unless something else has been agreed unequivocally in writing or by e-mail, the payment will be made within 60 days after the invoice has been received by Secu and/or the goods have been received, whichever date is later chronologically. 


Quality 

8. If one or more of the goods delivered does not comply in all respects with the agreement and/or does not possess the properties that are necessary for normal use and that Secu should expect, such as for instance (but not limited to) with regard to quantity, size, weight, material quality, and accessories, Secu will always be entitled after the discovery - and without giving rise to the objection that Secu could have or should have made the discovery sooner or should have protested or enforced its rights sooner - to dissolve the agreement without further notice of default or judicial intervention and to return the goods subject to the Supplier's obligation to return the purchase price, all this without prejudice to the further rights due to Secu, including the right to replacement, repair and to compensation for damage. Neither receipt of nor payment for goods by Secu constitutes acceptance. All packaging and materials of the goods to be delivered must comply in all respects with the environmental regulations in force at the time of delivery. 


Goods to be made available 

9. All goods to be made available by Secu to the Supplier, including models, punches, dies, moulds, forms, jigs, and drawings including all intellectual and industrial property rights that relate thereto will remain Secu's property. On Secu's first request all such goods must immediately be returned to Secu. The Supplier is not entitled to use the goods or to allow them to be used otherwise than for Secu's benefit, unless it is done with Secu's written permission. Damage to the goods made available by Secu will be for the Supplier's account. 


Third parties 

10. If the Supplier performs work by order of Secu in buildings or in grounds of third parties, the Supplier will be deemed to be familiar with Secu's contractual obligations in respect of that third party. Unless something else has been agreed, these obligations will apply accordingly to the Supplier. Personnel employed by the Supplier works at the risk and under the responsibility of the Supplier. If the Supplier or his personnel does not comply with the contractual conditions between Secu and third parties, this will not release the Supplier from his obligations. 


Additional obligations 

11. The title to and ownership of all models, punches, dies, moulds, forms, jigs, drawings or other aids that are acquired or manufactured by the Supplier for the performance of an agreement with Secu will on acquisition or manufacture be transferred by the Supplier to Secu and will immediately on acquisition or manufacture be held on loan for Secu by the Supplier. All intellectual and industrial property rights in connection with such goods will be due to Secu and will be transferred to Secu immediately on acquisition, in so far as necessary. The price agreed between Secu and the Supplier for goods as referred to above and that have been obtained by the Supplier from third parties will be paid by Secu to the Supplier, after the Supplier has handed Secu proof showing that the Supplier has paid the amount due to the third party and that the Supplier has become entitled to dispose of those goods. The Supplier must mark these goods clearly as Secu's property and point out Secu's right of ownership to third parties that want to exercise rights thereto. The Supplier is obliged to inform Secu thereof immediately. The Supplier will not use these goods or allow them to be used by third parties, otherwise than for Secu's benefit, unless otherwise provided in Secu's written confirmation. 


Secrecy 

12. The Supplier is obliged to treat confidentially all confidential information acquired within the framework of an agreement with Secu. The Supplier will not make this information available to third parties, except in so far as this is necessary for the performance of an agreement between Secu and the Supplier and after that third party/those third parties have accepted a corresponding obligation to observe secrecy. 


No outsourcing 

13. The Supplier is obliged to execute the agreement himself. 


Liability 

14. Subject to the provisions in article 8 the Supplier will always be obliged, in the event that the goods delivered turn out to be unsound or not in conformity with the agreement in any respect, at any time - so without the Supplier being able to claim that Secu could have discovered this sooner and could have complained sooner on the subject - to compensate all damage that may be related thereto in any way, suffered by Secu, its employees and/or third parties. 


Warranty 

15. The Supplier warrants the soundness and conformity with the agreement of all goods delivered and furthermore warrants that every good delivered possesses the properties that are necessary for normal use and that Secu may expect, such as for instance (but not limited to) with regard to quantity, size, weight, material quality and accessories. 


Industrial or intellectual property rights 

16. The Supplier guarantees that the goods delivered do not infringe on any industrial or intellectual property rights of third parties and indemnifies Secu from all claims that are brought against Secu on the subject. 


Disputes 

17. Dutch law applies to all agreements between Secu and the Supplier, to the exclusion of applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG Vienna 1980). Any disputes between Secu and the Supplier will be settled exclusively by the District Court of the district in which Secu is established.

Artikel I – Algemeen 

Deze Algemene Verkoopvoorwaarden zijn van toepassing op alle aanbiedingen van, alle offertes door, alle contacten met, en op alle overeenkomsten van, Secuproducts B.V. te Nieuw-Vennep (hierna aangeduid als: “Secu”) aan resp. met enige bedrijfsmatig handelende derde (hierna aangeduid als: ”de wederpartij”), voor zover Secu niet schriftelijk met wijziging van en/of aanvulling op een of meer van de onderstaande algemene voorwaarden heeft ingestemd. Toepasselijkheid van inkoop-, aanbestedings-, of andere voorwaarden van de wederpartij wordt door Secu afgewezen. Hierna wordt de eind-gebruiker van een Secu-product aangeduid als : “de gebruiker”. 


Artikel II – Aanbieding 

1.Elke aanbieding resp. offerte van Secu is vrijblijvend. 

2.De in catalogi, aanbiedingen/offertes, in afbeeldingen, op tekening en normalisatiebladen etc. door Secu vermelde gegevens zoals bijvoorbeeld (doch niet beperkt tot maat- en gewichtsopgaven) zijn slechts bij benadering en niet bindend. 


Artikel III – Overeenkomst 

Een overeenkomst tussen Secu en de wederpartij komt (eerst) tot stand op het moment van verzending, per e-mail of schriftelijk, door Secu van de orderbevestiging, en wordt gevormd door hetgeen in de orderbevestiging is vastgelegd. 


Artikel IV – Prijs 

1.De in de aanbieding, respectievelijk orderbevestiging genoemde prijzen zijn exclusief omzetbelasting/BTW en exclusief order- en verzendkosten en zijn voorts gebaseerd op de op het moment van afgifte van de aanbieding, respectievelijk orderbevestiging geldende kostprijzen. 

2.Indien na de datum van totstandkoming van de overeenkomst een of meer van de kostprijsfactoren een verhoging ondergaan, ook al geschiedt dit ingevolge voorzienbare omstandigheden, is Secu gerechtigd de overeengekomen prijs dienovereenkomstig te verhogen. 

3.Prijzen zijn gebaseerd op levering Franco huis op een adres in Nederland, met dien verstande dat Secu voor bestellingen van minder dan euro 300,-- netto exclusief omzetbelasting en eventueel afzonderlijk in rekening te brengen verpakking, een opslag van minimaal euro 20,-- exclusief omzetbelasting in rekening zal brengen, waarbij de vrachtkosten afzonderlijk worden doorgerekend, tenzij afzonderlijke specifieke afspraken zijn gemaakt tussen Secu en de wederpartij, in welk geval die specifieke afspraken gelden. 

4.Uitsluitend indien dat tevoren schriftelijk is overeengekomen, worden producten van Secu zelf door Secu teruggenomen onder creditering aan de wederpartij van het daarvoor eerder door Secu in rekening gebrachte bedrag, mits het bewuste product Franco en in goede verkoopbare staat binnen 30 dagen na factuurdatum door Secu wordt terugontvangen. Producten welke Secu doorverkoopt na inkoop door Secu bij leveranciers, en daarmee niet product van Secu zelf zijn, worden niet teruggenomen door Secu. 


Artikel V – Levering 

1. Secu en de wederpartij kunnen overeenkomen dat Secu orders in gedeelten levert. In dat geval factureert Secu per deellevering. Secu behoudt zich het recht voor, 5% meer of minder dan de orderhoeveelheid te leveren en te factureren. 

2.In geval van overmacht is Secu gerechtigd, hetzij de uitvoering van de overeenkomst op te schorten, hetzij de overeenkomst geheel of ten dele te ontbinden, zonder dat de wederpartij daaraan enig recht op schadevergoeding kan ontlenen. Onder overmacht wordt in deze algemene voorwaarden verstaan, elke van de wil van Secu onafhankelijke omstandigheid –ook al was deze ten tijde van het tot stand komen van de overeenkomst te voorzien– die nakoming van de overeenkomst blijvend of tijdelijk verhindert, alsmede, voor zover daaronder niet reeds begrepen: oorlog, oorlogsgevaar, burgeroorlog, onlusten, werkstaking, werknemersuitsluiting, transportmoeilijkheden, brand en andere storingen in het bedrijf van Secu of van haar leveranciers, storingen in de aanvoer van door derden te leveren goederen alsmede in water- en/of energieleveringen. 

3.Indien de wederpartij niet, niet behoorlijk of niet tijdig voldoet aan enige verplichting, die voor de wederpartij voortvloeit uit de overeenkomst met Secu of uit een daarmee samenhangende overeenkomst, dan wel indien het aan ernstige twijfel onderhevig is of de wederpartij in staat is om aan diens contractuele verplichtingen jegens Secu te voldoen, is Secu gerechtigd, zonder ingebrekestelling of rechterlijke tussenkomst, hetzij de uitvoering van de met de wederpartij gesloten overeenkomst op te schorten, hetzij deze geheel of gedeeltelijk te ontbinden, zulks zonder dat Secu tot enige schadevergoeding gehouden zal zijn en onverminderd de Secu verder toekomende rechten. 


Artikel VI – Levertijd 

1. De levertijd van elke order wordt vastgelegd in de bewuste orderbevestiging; indien op dat moment niet alle voor de uitvoering van de order benodigde gegevens door de wederpartij zijn verstrekt, zal de levertijd eerst ingaan, zodra die gegevensverstrekking compleet is. 

2. Behoudens grove schuld aan de zijde van Secu geeft overschrijding van de levertijd de wederpartij geen recht op gehele of gedeeltelijke ontbinding van de overeenkomst, noch op enige schadevergoeding of niet-nakoming van enige verplichting, welke voor de wederpartij uit enige met Secu gesloten overeenkomst mocht voortvloeien. 

3. Als tijdstip van levering van goederen door Secu aan de wederpartij geldt de dag waarop de goederen waarop de orderbevestiging betrekking heeft, resp. de op die orderbevestiging gebaseerde deellevering, Secu’s magazijn verlaten. 


Artikel VII – Betaling 

1. Betaling aan Secu door de wederpartij dient te geschieden binnen 30 dagen na factuurdatum zonder enige aftrek of verrekening, ofwel indien het gaat om leveringen van SecuPost producten dient betaling te geschieden voorafgaand aan de levering. 

2. Indien de wederpartij niet tijdig betaalt, is Secu gerechtigd om de wederpartij vanaf de vervaldag rente in rekening te brengen naar een percentage van 4 punten boven het promesse-disconto van de Nederlandsche Bank, en tevens alle op de inning van de bewuste vordering vallende gerechtelijke en buitengerechtelijke kosten. 

3. De eigendom van door Secu aan de wederpartij geleverde zaken gaat eerst op de wederpartij over, indien en voorzover al hetgeen door de wederpartij aan Secu uit hoofde van leveringen of werkzaamheden verschuldigd is, met inbegrip van rente en kosten, volledig aan Secu is voldaan. De wederpartij is niettemin gerechtigd de zaken in het kader van een normale bedrijfsuitoefening aan derden te verkopen en te leveren. Bij ernstige twijfel van Secu of de wederpartij verkoop en/of levering verricht in het kader van een normale bedrijfsuitoefening, wordt, welke de betalingscondities ook zullen zijn, al hetgeen door de wederpartij aan Secu uit hoofde van leveringen of werkzaamheden verschuldigd is, per direct ten volle opeisbaar. 

 4. Secu is bij ernstige twijfel van Secu of de wederpartij verkoop en/of levering verricht in het kader van een normale bedrijfsuitoefening, gerechtigd tot een ongehinderde toegang tot de zaak/zaken. De wederpartij zal Secu alle medewerking verlenen teneinde Secu in de gelegenheid te stellen het in lid 3 van dit artikel opgenomen eigendomsvoorbehoud uit te oefenen door terugneming van de zaak/zaken. 


Artikel VIII – Reclamering 

Reclamering ter zake van manco’s, abusievelijke leveringen en/of uitwendig waarneembare gebreken van enig geleverd product dient te geschieden binnen 30 dagen na ontvangst van het bewuste product door de wederpartij, bij overschrijding van welke termijn elke eventuele aanspraak op Secu vervalt. 


Artikel IX – Garantie 

1.Behoudens voorafgaande afwijkende schriftelijke afspraken tussen Secu en de wederpartij, is de garantie op door Secu aan de wederpartij geleverde producten beperkt tot kosteloze vervanging door Secu resp. tot herstel door Secu, zulks ter keuze van Secu, van producten met uitwendig waarneembare gebreken, die naar de mening van Secu het directe gevolg zijn van gebruik van ondeugdelijk bij fabricage van dat product gebruikt materiaal, van roestvorming, van fabricagefouten of van gebrekkige afwerking. 

2.De in lid 1 van dit artikel omschreven garantie is in tijd beperkt tot gebreken, die aan Secu worden gemeld binnen 2 jaar na levering van het bewuste product door Secu aan de wederpartij. 

3.Reclame op grond van garantie dient onverwijld, doch in ieder geval binnen 14 dagen, nadat een gebrek als bedoeld in lid 1 van dit artikel is ontstaan, schriftelijk bij Secu te geschieden, bij overschrijding van welke termijn elke garantie van Secu vervalt. 

4.Producten ten aanzien waarvan een beroep op garantie wordt gedaan, dienen na overleg met Secu onverwijld Franco aan Secu te worden verzonden. Indien Secu in het kader van garantie vervangende producten levert, blijft respectievelijk wordt het oorspronkelijk geleverde Secu’s eigendom. 

5.Gebreken die het gevolg zijn van onjuist vervoer, onjuiste opslag, onjuiste montage, onjuist gebruik, gebrekkig onderhoud, onbehandelde of niet juist behandelde zaagsneden, of veranderingen die zonder schriftelijke instemming van Secu worden aangebracht aan enig Product, vallen buiten de garantie. Niet-nakoming van de bij de Producten meegeleverde en de op de Secu-website vermelde montagehandleiding en (veiligheids-) instructies, leidt tot verval van de garantie. 

6.Bij gebruik van andere dan door de Secu meegeleverde onderdelen vervalt elke aanspraak op garantie. 


Artikel X – Aansprakelijkheid 

1. Secu’s aansprakelijkheid is beperkt tot nakoming van de in artikel IX hiervoor beschreven garantieverplichtingen. 

2. Behoudens grove schuld aan de zijde van Secu, is alle aansprakelijkheid van Secu uitgesloten voor bedrijfsschade, voor gevolgschade, voor andere indirecte schade zoals montagekosten, voor schade (door gebruik van zaken) aan personen of zaken, voor inbraakschade en alle daaruit voortvloeiende kosten, voor lichamelijk of psychisch letsel ten gevolge van een inbraak of ramkraak, voor verlies van gelden of andere roerende zaken, en voor alle schade van resp. als gevolg van aansprakelijkheid jegens, derden. 

 3. Secu is derhalve ook niet aansprakelijk voor enige schade welke resulteert uit schending van octrooien, licenties, of andere rechten van derden, onder meer (doch niet beperkt tot) als gevolg van gebruik van, door of vanwege de wederpartij verstrekte gegevens. 


Artikel XI – Modellen, gereedschappen, stempels en matrijzen 

1. Modellen, gereedschappen, stempels en matrijzen, welke speciaal voor een order worden vervaardigd, worden en blijven het eigendom van Secu. Indien en zodra gedurende 2 jaren op een bepaald artikel door Secu geen orders zijn ontvangen en aanvaard, heeft Secu het recht de betrokken modellen, gereedschappen, stempels en matrijzen te vernietigen, zonder de wederpartij tevoren te informeren; indien enig model, gereedschap, stempel en/of matrijs elders dan in Secu’s bedrijfsgebouwen is opgeslagen, is de derde bij wie die opslag plaatsheeft, niet gerechtigd om tot aantasting en/of vernietiging daarvan over te gaan zonder dat daartoe tevoren schriftelijke toestemming van Secu is verkregen door die derde. 


Artikel XII – Gebruik en montage 

1. Door Secu geleverde producten dienen te worden gebruikt conform hun bestemming resp. hun gebruiksdoel en dienen te worden gebruikt in overeenstemming met hetgeen als normaal gebruik geldt. De wederpartij is gehouden die gebruiksopdracht in een duidelijke uiting aan diens afnemers voor te houden, en om de bewuste uiting desgevraagd aan Secu te verstrekken ter beoordeling van de inhoud daarvan. 

2. Secu besteedt gedurig grote zorg aan de veiligheidsinstructie en aan de montagehandleiding die bij haar producten wordt gevoegd. Die veiligheidsinstructie en die montagehandleiding dienen nauwgezet te worden gevolgd. De wederpartij is gehouden die veiligheids- en montage-opdracht in een duidelijke uiting aan diens afnemers voor te houden, en om de bewuste uiting desgevraagd aan Secu te verstrekken ter beoordeling van de inhoud daarvan. 

3. Door Secu bij haar producten geleverd montagemateriaal dient te worden aangewend bij de montage; gebruik van ander montagemateriaal dan Secu’s montagemateriaal leidt tot risico’s op zaakbeschadiging en lichamelijk letsel. De wederpartij is gehouden die montagemateriaal-opdracht in een duidelijke uiting aan diens eventuele afnemers voor te houden, en om de bewuste uiting desgevraagd aan Secu te verstrekken ter beoordeling van de inhoud daarvan. 

4. Periodiek dient te worden gecontroleerd door de gebruiker of Secu’s product onverminderd stevig is gemonteerd, onder meer door (doch niet beperkt tot) controle van de bevestigingspunten. Betreffende kindveiligheidsprodukten dient bovendien periodiek te worden gecontroleerd door de gebruiker of dat product onverminderd veiligheid biedt, in het licht van de ontwikkeling van het kind. De wederpartij is gehouden die controle-opdracht in een duidelijke uiting aan diens afnemers voor te houden, en om de bewuste uiting desgevraagd aan Secu te verstrekken ter beoordeling van de inhoud daarvan. 


Artikel XIII – Overig 

1.Enig door Secu niet inroepen op enig moment van een haar toekomend recht respectievelijk een daaruit resulterend rechtsgevolg, leidt niet tot verlies door Secu van de mogelijkheid om dat recht respectievelijk rechtsgevolg alsnog op enig later moment in te roepen, noch doet zulks enig recht van Secu vervallen. 

2. Secu is gerechtigd deze algemene voorwaarden van tijd tot tijd te harer discretie aan te passen, en die aangepaste voorwaarden dan te doen gelden in alle rechtsverhoudingen, welke ontstaan na de datum van deponering van die aangepaste voorwaarden. 

3. Indien enige bepaling van deze algemene voorwaarden niet geldig zou zijn resp. geen juridisch effect zou hebben tussen Secu en de wederpartij, dan zullen de wederpartij en Secu die bepaling vervangen door een bepaling die de initiele bedoeling het meest nabij komt zonder ongeldig te zijn en/of geen effect te hebben. 

4. De wederpartij is gehouden tot strikte geheimhouding van alle door Secu aan de wederpartij ter kennis gebrachte prijzen, tarieven en overige voorwaarden/elementen van Secu’s leveranties resp. dienstverlening. Secu is auteursrechthebbende op de inhoud van haar aanbiedingen, offertes, orderbevestigingen, overeenkomsten, promotiemateriaal, productinformatie, inhoud van Secu’s websites en van de vormgeving daarvan. Niets daarvan mag zonder Secu’s voorafgaand schriftelijke toestemming worden gebruikt resp. verveelvoudigd en/of openbaar gemaakt, hetzij elektronisch, mechanisch of door fotokopieen of anderszins. 


Artikel XIV – Toepasselijk recht en geschillen 

1.Op alle aanbiedingen van, alle offertes door, alle contacten met, en op alle overeenkomsten van, Secu jegens resp. met de wederpartij, is steeds Nederlands recht van toepassing, met uitsluiting van toepasselijkheid van het Weens koopverdrag (CISG Vienna 1980). 

2.Geschillen tussen Secu en een wederpartij worden exclusief beslecht door de rechtbank van het arrondissement waarin Secu gevestigd is.

Article I – General 

These General Conditions of Sale apply to all offers by, all contacts with and to all agreements of Secuproducts B.V. of Nieuw-Vennep, the Netherlands (hereinafter called: "Secu") in respect of any third party acting as a business (hereinafter called: "the other party"), in so far as Secu has not agreed in writing to an alteration of and/or supplement to one or more of the following general conditions. Applicability of purchasing, tendering or other conditions of the other party is rejected by Secu. Hereinafter the end user of a Secu product will be referred to as: "the user". 


Article II – Offer 

1. Any offer by Secu is without engagement. 

2. The data mentioned by Secu in catalogues, offers, in illustrations, in drawings and normalization sheets etc., such as for instance (but not restricted to) statements of measurements and weights will only be approximations and will not be binding. 


Article III – Agreement 

An agreement between Secu and the other party will (only) take effect at the time of Secu's dispatch, by e-mail or in writing, of the confirmation of sale, and will constitute what has been laid down in the confirmation of sale. 


Article IV – Price 

1. The prices mentioned in the offer or the confirmation of sale are exclusive of turnover tax/VAT and exclusive of order expenses or shipping charges and are furthermore based on the cost prices applicable at the time of issue of the offer or confirmation of sale. 

2. If after the date of conclusion of the agreement one or more of the cost price factors should undergo an increase, even if this occurs as a result of foreseeable circumstances, Secu will be entitled to raise the agreed price accordingly. 

3. Prices are based on delivery free domicile at an address in the Netherlands, on the understanding that for orders of less than 300 euros net exclusive of sales tax and any packing to be charged separately Secu will make a surcharge of at least 20 euros excluding turnover tax, in which connection the shipping charges will be made separately unless separate specific arrangements have been made between Secu and the other party, in which case those specific arrangements will apply. 

4. Only if this has been agreed in advance in writing, products of Secu itself will be taken back by Secu with a credit note to the other party for the amount previously charged for it by Secu, provided that the relevant product is received back by Secu free of charge and in a good saleable condition within 30 days after the invoice date. Products that Secu resells after purchase by Secu from suppliers will not be taken back by Secu. 


Article V – Delivery 

1. Secu and the other party may agree that Secu delivers orders in instalments. In that case Secu will send an invoice for every instalment. Secu reserves the right to deliver and invoice 5% more or less than the quantity ordered. 

2. In the event of force majeure Secu is entitled either to suspend the performance of the agreement or to dissolve the agreement in full or in part, without the other party being able to derive any right to compensation from that. In these general conditions force majeure is understood to be any circumstance beyond Secu's control - even if it was foreseeable at the time of the conclusion of the agreement - that prevents performance of the agreement permanently or temporarily, and also, in so far as not included therein: war, risk of war, civil war, riots, strike, lock-out, transport difficulties, fire and other interruptions in the business of Secu or of its suppliers, interruptions in the delivery of goods to be supplied by third parties and also in water and/or energy supplies. 

3. If the other party does not, not properly or not in good time fulfil any obligation that follows for the other party from the agreement with Secu or an agreement related thereto, or if it is open to serious doubt whether the other party is able to fulfil its contractual obligations to Secu, Secu will be entitled, without notice of default or judicial interposition, either to suspend the performance of the agreement concluded with the other party or to dissolve it in full or in part, this without Secu being obliged to pay any compensation and without prejudice to the rights further due to Secu. 


Article VI – Delivery period 

1. The delivery period of every order will be laid down in the relevant confirmation of sale; if at that time not all the data required for the performance of the order have been supplied by the other party the delivery period will only commence as soon as that supply of information is complete. 

2. Except for gross culpability on Secu's part, transgression of the delivery period will not entitle the other party to whole or partial dissolution of the agreement or to any compensation or non-fulfilment of any obligation that should follow for the other party from any agreement concluded with Secu. 

3. The time of delivery of goods by Secu to the other party will be the day on which the goods to which the confirmation of sale relates or the instalment based on that confirmation of sale leave Secu’s warehouse. 


Article VII – Payment 

1. Payment to Secu by the other party must be made within 30 days after the invoice date without any deduction or set-off or, if it concerns deliveries of SecuPost products, the payment must be made prior to the delivery. 

2. If the other party does not pay in time, Secu will be entitled to charge interest to the other party from the due date in accordance with a percentage of 4 points above the promissory note discount rate of de Nederlandsche Bank, and also all judicial and extrajudicial costs bearing on the collection of the relevant claim. 

3. The ownership of goods delivered by Secu to the other party will only pass to the other party if and in so far as everything that is owed by the other party to Secu on the strength of deliveries or work, including interest and expenses, has been fully paid to Secu. The other party will nevertheless be entitled to sell and deliver the goods to third parties within the framework of a normal conduct of business. If Secu seriously doubts whether the other party performs the sale and/or delivery within the framework of a normal conduct of business, anything that the other party owes Secu on the strength of deliveries or work will become immediately claimable, whatever the terms of payment will be. 

4. If Secu seriously doubts whether the other party performs the sale and/or delivery within the framework of a normal conduct of business, Secu will be entitled to unhindered access to the good(s). The other party will give Secu all cooperation in order to enable Secu to exercise the retention of title included in paragraph 3 of this article by taking back the good(s). 


Article VIII – Complaints 

Complaints with regard to shortages, incorrect deliveries and/or externally discernible defects of any product delivered must be made within 30 days after receipt of the relevant product by the other party. On expriry of this period any claim on Secu lapses. 


Article IX – Warranty 

1. Bar prior deviating written arrangements between Secu and the other party, the warranty on products supplied by Secu to the other party will be limited to free replacement by Secu or repair by Secu, this at Secu's option, with regard to products with externally discernible defects that in Secu's opinion are the direct consequence of the use of unsound material used in the manufacture of that product, of rusting, of manufacturing errors or of defective finishing. 

2. The warranty described in paragraph 1 of this article is limited in time to defects that are reported to Secu within 2 years after delivery of the relevant product by Secu to the other party. 3. Any complaint on the strength of warranty must be made immediately, but at any rate within 14 days after a defect as referred to in paragraph 1 of this article has occurred, to Secu in writing. On expiry of this period any warranty of Secu lapses. 

4. After consultation with Secu any products in respect of which a claim is made under the warranty must immediately be sent to Secu free domicile. If Secu delivers substitute products within the framework of the warranty, the originally delivered products will become or remain Secu's property. 

5. Defects that are the result of incorrect transport, incorrect storage, incorrect assembly, incorrect use, defective maintenance, untreated or incorrectly treated saw cuts or changes that are made to any product without Secu's written consent will fall outside the warranty. Failure to follow the assembly manual and (safety) instructions supplied together with the Products and published on the Secu website will lead to loss of any claim on the warranty.6. In the event of use of other parts than those supplied by Secu any claim on warranty will be lost. 


Article X – Liability 

1. Secu’s liability is limited to fulfilment of the warranty obligations described above in article IX. 

2. Bar gross culpability on Secu's part all liability of Secu is excluded for trading loss, for consequential damage, for other indirect loss, such as assembly costs, for damage (as a result of the use of goods) to persons or goods, for burglary damage and all costs resulting therefrom, for physical or psychological injury as a result of a burglary or ram raid, for loss of moneys or other movable property and for all damage of or as a result of liability in respect of third parties. 

3. Secu is therefore not liable either for any damage that results from infringement of patents, licences or other rights of third parties, inter alia (but not only) as a result of use of information supplied by or on behalf of the other party. 


Article XI – Models, tools, stamps and moulds 

1. Models, tools, stamps and moulds that are made especially for an order, will become and remain Secu's property. If and as soon as during 2 years no orders for a specific article have been received by Secu, Secu is entitled to destroy the relevant models, tools, stamps and moulds without informing the other party beforehand; if any model, tool, stamp and/or mould is stored somewhere else than in Secu's industrial buildings, the third party storing those goods will not be entitled to affect and/or destroy them without that third party having received Secu's prior written permission for the purpose. 


Article XII – Use and assembly 

1. Products supplied by Secu must be used in conformity with their purpose or their intended use and must be used in accordance with what is considered normal use. The other party is obliged to point out that instruction for use in a clear representation to its buyers and to hand the relevant representation to Secu on request for assessment of its contents. 

2. Secu constantly devotes great care to the safety instruction and to the assembly manual that are added to its products. That safety instruction and that assembly manual must be followed carefully. The other party is obliged to point out that safety instruction and that assembly manual in a clear representation to its buyers and to hand the relevant representation to Secu on request for assessment of its contents. 

3. Assembly material supplied by Secu with its products must be used in the assembly; use of other assembly material than Secu’s assembly material leads to risks of damage to the goods and physical injury. The other party is obliged to point out that assembly-material instruction in a clear representation to its possible buyers and to hand the said representation to Secu on request for assessment of its contents. 

4. Periodically the user must check whether Secu’s product still is solidly mounted, inter alia by (but not limited to) checks of the points of attachment. With regard to child-safe products the user must moreover check periodically whether that product offers undiminished safety, in view of the child's development. The other party is obliged to point out that assembly-material instruction in a clear representation to its possible buyers and to hand the said representation to Secu on request for assessment of its contents. 


Article XIII – Miscellaneous 

1. If at any time Secu does not invoke a right due to it or a legal consequence following therefrom, this will not lead to Secu's loss of the possibility of invoking that right or legal consequence as yet at a later time, nor does this void any right of Secu. 

2. Secu is entitled to modify these general conditions from time to time at its discretion and then to have those modified conditions apply to all legal relations that are created after the date of filing of those modified conditions. 

3. If any provision in these general conditions should not be valid or have no legal effect between Secu and the other party, the other party and Secu will replace that provision with a provision that approaches the initial intention most closely without being invalid and/or having no effect. 

4. The other party is obliged to observe strict secrecy of all the prices, rates and other conditions/elements of Secu's deliveries or services communicated by Secu to the other party. Secu holds the copyright to the contents of its offers, confirmations of sale, agreements, promotional material, product information, contents of Secu's website and of the design thereof. No part thereof may be used or multiplied and/or made public without Secu’s prior written permission, either electronically, mechanically or by photocopies or otherwise. 


Article XIV – Applicable law and disputes 

1. All offers by, all contacts with and all agreements of Secu in respect of the other party are always governed by Dutch law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG Vienna 1980). 

2. Disputes between Secu and another party will be settled exclusively by the District Court of the district in which Secu is established.
